  1. Introduction

Welcome to the website! Please carefully read and fully understand the following terms before using our Services. The website is operated by Lumenary Codex Inc and its affiliated entities ("we" or the "Company"). By accessing or using the Services, you ("you" or the "user") acknowledge that you have read, understood, and agreed to be bound by this Agreement, thereby establishing a contractual relationship with the Company. By clicking "OK," you confirm that you accept all obligations and legal responsibilities set forth herein.

If you are using the Services on behalf of a company, partnership, organization, government body, or any other entity ("your organization"), you represent and warrant that such entity is duly established, validly existing, and that you are authorized to bind the entity to this Agreement.

You further confirm that you possess full civil capacity, are at least 18 years old, and have the legal ability to agree to all terms in this Agreement and related documents. The website does not encourage minors to use certain Services. Minors are prohibited from using recharge services unless operated by, or with explicit consent from, a guardian. Guardians must fulfill their supervisory responsibilities. The website bears no liability for the conduct of minors during the use of recharge services or for any resulting consequences.

As a user—whether an enterprise or an individual—you agree to comply with these Terms when accessing or using the website, Services, or software. The "Website Platform" refers collectively to the aforementioned website, Services, and software. Accessing or using the website indicates your acceptance of these Terms and the Privacy Policy. If you do not agree or are unable to comply, we cannot provide the Services. These Terms apply to all users, including temporary visitors. All Services and products are strictly for lawful purposes.

  1. Your Account

You must ensure that all information provided during registration is accurate and complete. The website may terminate your account if any information is found to be incorrect or incomplete. You are responsible for safeguarding your account credentials and for all activities conducted under your account. You must promptly notify us of any security vulnerabilities or unauthorized use. Unless expressly authorized, you may not register with the name of another entity or any illegal, offensive, vulgar, or obscene username.

  1. Cost

The website reserves the right to modify prices or fees at any time at its sole discretion. You may review applicable costs on the relevant interface, which always reflects the most up-to-date pricing. Any changes to subscription fees take effect immediately and apply at the conclusion of your current billing cycle, provided your subscription remains active. Continued use constitutes acceptance of the updated pricing.

  1. Payment and Purchase

When purchasing products or services, you may be required to provide payment information, including payment method and credit card details. You represent and warrant that you are legally authorized to use the payment method provided and that all information is true, accurate, and complete. We may use third-party payment services; by submitting payment information, you consent to our sharing it with relevant third parties in accordance with our Privacy Policy.

  1. Free Trial

We may provide a time-limited free trial with partial functionality at our sole discretion. You may be required to submit payment details when signing up, but you will not be charged until the Free Trial expires. We reserve the right to modify or cancel Free Trial terms at any time without prior notice.

  1. Subscription

Period: The Services or certain parts are only available with paid subscriptions. Depending on your plan, you prepay monthly or annually. At the end of each period, your subscription automatically renews on the same terms unless you cancel. Cancellation: You can cancel renewal on the 'Personal Center' page or by email. After canceling, you will not receive a refund for fees already paid for the current period, and you retain access until the end of the current period.

  1. Refunds

The products and services are special virtual products and services. By paying, you indicate that you have activated and are using them, which are non-transferable and non-refundable once purchased. These terms apply to all services, including but not limited to membership purchases and K-coin recharge services. Please purchase carefully. To the extent applicable law grants consumers non-waivable refund/cancellation rights (e.g., certain state consumer-protection laws), this clause does not affect such statutory rights.

  1. Events and Promotions

Any promotional activities may be subject to rules different from these terms. If you participate, please review the applicable rules and our Privacy Policy. If promotion rules conflict with these terms, the promotion rules prevail.

  1. Your Content & Intellectual Property

9.1 Platform IP: All intellectual property rights in the Services—including software, algorithms, models, interfaces, trademarks, logos, and documentation—belong to the Company (Lumenary Codex Inc) or its licensors. You may not copy, reverse-engineer, redistribute, or commercially exploit them without written authorization. 9.2 User Content Responsibility: The website allows users to upload text, images, videos, and other materials for generating content. You are solely responsible for all materials and all content generated (including legality, reliability, and appropriateness), and must not engage in unauthorized or unlawful secondary creation. 9.3 Warranty of Rights: You represent and warrant that you own or are authorized to use uploaded content, and that it does not infringe any third party's privacy, likeness, copyright, IP, or other rights. Violation may result in immediate account termination and liability for all losses incurred by the platform due to third-party claims. 9.4 License: You retain ownership of your content but grant the website a free, non-exclusive, transferable, worldwide license to use, reproduce, display, modify, adapt, and distribute such content to provide, operate, moderate, and improve the Services. This license terminates within a reasonable technical period after you delete the content or account, except where legally required or irreversible backups exist. 9.5 AI-Generated Content: Provided you use the Services lawfully and comply with this Agreement, we assign to you—to the extent permitted by applicable law—such rights as we can claim in the output for your lawful use. You understand that copyrightability of AI-generated content varies across jurisdictions and may not be protected.

  1. Prohibition of Content Abuse

During your paid access period, the website grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services. You agree not to misuse the Platform or violate any applicable laws, including but not limited to:

  • Violating domestic or international laws

  • Exposing or harming minors; strictly no generating, uploading, or distributing any sexualized content involving minors (zero tolerance; reported to law enforcement and NCMEC upon detection)

  • Creating adult-oriented or pornographic content

  • Using another person's likeness, face, or voice for face-swapping or deepfakes without their explicit consent, or creating misleading synthetic media

  • Infringing others' rights (e.g., obscenity, defamation, harassment, intimidation, discrimination, fraud)

  • Interfering with the Platform

  • Using malicious programs or unauthorized access methods

  • Damaging or manipulating the website's reputation or rating

  • Reverse engineering, decompiling, or accessing source code

  • Using the Services for competitive or replacement activities

  • Distributing, leasing, sublicensing, or renting the Services to third parties

  • Using created content in a manner reasonably considered infringing

Enforcement: If your content violates these Terms, we may delete, unpublish, or recall it, and you must do the same immediately. We may also terminate your access and pursue compensation. The website is not responsible for consequences of misuse. Copyright of third-party search results belongs to the original platform or rights holder; users must comply with the data provider's usage terms.

  1. Computing Resources Usage

11.1 Quota & Rate Limits: AI generation relies on finite computing resources. We may limit request frequency, concurrency, generation duration, or quota per unit of time, and adjust based on plan tier, risk controls, or system load. 11.2 Resource Abuse: You may not abuse computing resources via scripts, crawlers, automated bulk requests, multi-account circumvention, or abnormally high-frequency calls, on pain of throttling, suspension, or termination. 11.3 Metering & Logging: For billing, abuse prevention, and capacity planning, we log your resource usage (call counts, generation duration, quota consumed). 11.4 Availability: Under high load, maintenance, or force majeure, tasks may be queued, degraded, or delayed; we are not liable for resulting waits beyond applicable law. Purchased quota/K-coin must be used within its validity; expiry or abuse may void it, as indicated on the purchase interface.

  1. Protection of Minors

12.1 Age Threshold: The Services target adults; you must be at least 18 to use them. 12.2 Guardian Consent & Supervision: Where minors are permitted to use the Services under applicable law, explicit parental/guardian consent and supervision are required; recharge/paid features must be operated or expressly consented to by a guardian. 12.3 No Knowing Collection: We do not knowingly collect personal information from children under 13 (in accordance with the U.S. COPPA). 12.4 Deletion Upon Discovery: If we learn we have collected such a child's information without guardian consent, we will delete it and terminate the related account within a reasonable period. 12.5 Reporting: If you believe we hold a minor's information, contact us via Section 19; we will promptly investigate.

  1. Demonstrative Authorization

With your consent, you agree that the website may use your name and logo in sales materials, websites, marketing content, and press releases.

  1. Disclaimer

You understand and agree that, to the maximum extent permitted by applicable law, the Platform is not liable for interruptions caused by: viruses, trojans, or malicious attacks; failures of your hardware, software, or communication systems; your improper operation; use of Services in an unauthorized manner; or events beyond the Platform's reasonable control or foreseeability. The Services are provided on an "as is" and "as available" basis, without warranties of any kind to the extent permitted by law.

  1. Liability and Compensation

If your violation of this Agreement causes losses to the website (including but not limited to economic losses, litigation costs, attorney fees, notarization fees, audit fees, travel expenses, appraisal fees, or other reasonable rights-protection expenses), you shall fully compensate the website in accordance with applicable laws.

  1. Effectiveness, Modification, and Termination

This Agreement becomes effective once you complete login or registration by selecting "I have read and agree," or when you use the Services by any other means. The website may adjust service content or suspend, interrupt, or terminate the Services based on business or operational requirements. In the event of merger, acquisition, division, or asset transfer, the website may transfer relevant assets or assign part or all of the Services and related rights and obligations to a third party, notifying the transferee accordingly. We may suspend or terminate services without notice if: you fail to provide authentic information required by law; you violate laws, regulations, or this Agreement; you fail to comply with judicial or regulatory requirements; or security concerns or other necessary circumstances arise.

  1. Sanctions and Export Control Compliance

By accessing or using the Services, you represent and warrant that:

  1. You are not located in, organized under the laws of, or ordinarily resident in any country/region subject to comprehensive sanctions, embargoes, or trade restrictions by the US, EU, UK, UN, or other applicable authority;

  2. You are not on any applicable sanctions list, including the OFAC SDN List;

  3. You are not acting on behalf of, or for the benefit of, any sanctioned person, entity, organization, or government;

  4. You will not access, use, download, export, re-export, transfer, or make available the Services in violation of any applicable export control or sanctions laws.

The Services are not offered to and may not be used by any person/entity located in, ordinarily resident in, or subject to the jurisdiction of any restricted or sanctioned country/region. We reserve the right to suspend or terminate access without notice if we determine a possible violation. You are solely responsible for ensuring compliance with all applicable laws and international trade restrictions.

  1. Governing Law and Dispute Resolution

18.1 Governing Law: This Agreement and any dispute arising out of or relating to it are governed by and construed in accordance with the laws of the State of Colorado, United States and applicable U.S. federal law, without regard to its conflict-of-laws rules. 18.2 Jurisdiction: Disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in El Paso County (Colorado Springs), Colorado; where mutually agreed and permitted by law, disputes may be submitted to arbitration administered by the American Arbitration Association (AAA) under its rules in force, seated in Colorado and conducted in English, with the award being final and binding. 18.3 Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full effect. 18.4 Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding the Services.
